01Who we are
NotAPerson.ai is a trade name of Great Ideas Comm.V. ("we", "us"), Sauvegardestraat 20, 2870 Puurs-Sint-Amands, Belgium, enterprise number and VAT BE 0534.888.187, registered at the Register of Legal Entities of Antwerp, Mechelen division. Email: hello@notaperson.ai.
02Scope
These terms apply to every quote, agreement and service we provide, including workflow audits, consulting, the design and build of AI agents and automations, content generation, training and support. "Client" means the business that hires us. Our services are meant for businesses, not for consumers.
Where a quote or signed agreement differs from these terms, the quote or agreement prevails. The client's own general terms do not apply unless we accept them in writing.
03Quotes & agreements
- Quotes are valid for 30 days unless they say otherwise.
- An agreement exists once the client accepts a quote in writing (email is fine) or once we start work at the client's request.
- Work outside the agreed scope is extra work. We tell the client before we start it and, unless agreed otherwise, charge it at our current hourly or day rate.
04How we work
We do the work with care and to the standard of a professional AI agency. Our commitments are obligations of means (inspanningsverbintenis), not of result, unless the agreement expressly promises a specific result. Timelines are good-faith estimates; a delay does not entitle the client to terminate or claim damages unless we agreed a firm deadline in writing.
We may use carefully chosen subcontractors and third-party tools, and we remain responsible to the client for their work.
05Your part
The client provides on time the access, data, information and feedback we need, and confirms it is entitled to share them with us. The client is responsible for:
- its accounts and subscriptions with third-party platforms (such as AI providers, SaaS tools and cloud hosting) and their costs, unless the quote says we include them;
- making sure its use of the delivered solutions complies with the law and with the terms of those platforms;
- approving deliverables and testing them before production use.
Deliverables are accepted when the client approves them, or 10 working days after delivery if the client has not reported a substantial defect by then.
06AI output
Our solutions use AI models from third parties. By their nature these models can produce output that is wrong, incomplete, biased or similar to existing material, and their behaviour can change when the provider updates them. Therefore:
- we design for a human-in-the-loop wherever an error could matter, and the client keeps final responsibility for decisions and for output it publishes or sends;
- we do not guarantee that AI-generated output is accurate, unique or free of third-party rights;
- changes, price increases or discontinuation of a third-party model or platform are outside our control. We help adapt the solution where possible, as extra work if it falls outside the agreed scope.
07Fees & payment
- Prices are in euro and exclude VAT. Fixed-price projects may be invoiced in instalments, for example 50% on start and 50% on delivery. Time-based work is invoiced monthly.
- Invoices are payable within 30 days of the invoice date to account BE26 3631 1989 0929 in the name of Great Ideas Comm.V.
- If an invoice is not paid on time, the late payment interest of the Belgian Act of 2 August 2002 on combating late payment in commercial transactions is due automatically and without prior notice, plus a flat-rate compensation for recovery costs of €40, without prejudice to our right to reasonable further recovery costs.
- We may suspend work until overdue invoices are paid, after a written reminder.
- Disputes about an invoice must reach us in writing within 15 days of the invoice date.
- We may adjust recurring fees (such as support or hosting) once a year, giving 30 days' notice.
08Intellectual property
- Once all related invoices are paid in full, the client owns the deliverables made specifically for it, such as its workflows, prompts, configurations and custom code. Until then we grant a licence to use them for the project.
- We keep ownership of our pre-existing know-how, methods, templates, libraries and generic tools, and of improvements to them that are not specific to the client. Where they are part of a deliverable, the client gets a non-exclusive, perpetual licence to use them with that deliverable.
- Open-source components and third-party services stay under their own licences and terms.
- Unless the client objects in writing, we may mention the client's name and a general description of the project as a reference, without disclosing confidential information.
09Confidentiality
Both parties keep the other's confidential information secret, use it only for the agreement and share it only with people who need it and are bound by the same duty. This does not apply to information that is public, already known to the receiving party, or that must be disclosed by law. The duty lasts for the agreement and for 3 years after it ends.
10Data protection
Where we process personal data on behalf of the client, we do so as a processor under a data processing agreement that meets article 28 GDPR. How we handle our own data is described in our privacy policy.
11Liability
- We are liable only for damage caused by our own fault in performing the agreement.
- We are not liable for indirect or consequential damage, such as loss of profit, revenue, data, goodwill or business opportunities, nor for damage caused by AI output the client used without review, by third-party platforms, or by incorrect information from the client.
- Our total liability per agreement is limited to the fees paid by the client for that agreement in the 12 months before the event that caused the damage.
- These limits do not apply to fraud, wilful misconduct or any liability that cannot be limited by law.
- Claims must be made in writing within 12 months after the client became aware, or should reasonably have become aware, of the damage.
12Force majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control, such as outages of internet, cloud or AI providers, cyberattacks, natural disasters, pandemics, war or government measures. If force majeure lasts longer than 60 days, either party may end the agreement in writing, and work done up to then is paid.
13Ending the agreement
- Fixed-scope projects end on delivery and acceptance.
- Ongoing services (such as support, hosting or retainers) can be ended by either party with 1 month's written notice, unless the agreement says otherwise.
- Either party may end the agreement immediately in writing if the other seriously breaches it and does not fix the breach within 15 days of a written notice, or in case of bankruptcy or similar proceedings.
- On termination, the client pays for work done and costs incurred up to that point.

15Law & disputes
Belgian law governs these terms and every agreement with us. We will first try to resolve any dispute amicably. Failing that, the courts of the judicial district of Antwerp, Mechelen division, have exclusive jurisdiction.
If a provision of these terms is invalid, the rest remains in force, and the invalid provision is replaced by a valid one that comes as close as possible to its purpose. We may update these terms; the version in force when an agreement is made applies to that agreement.
